Notification of Transactions of Directors/PMDRs

Mattioli Woods (AIM: MTW.L), the specialist wealth management and employee benefits business, announces the settlement of conditional cash awards granted on 5 September 2013 under the Mattioli Woods 2010 Long Term Incentive Plan ("the LTIP") to Ian Mattioli (Chief Executive Officer of the Company) and Bob Woods (Founder Director of the Company). Ian Mattioli and Bob Woods are considered to be persons discharging managerial responsibilities ("PDMRs").

Settlement of conditional cash awards

Conditional cash awards ("Cash Awards") grant participating employees a conditional right to be paid a cash amount based on the proceeds of the sale of a specified number of ordinary shares of 1 pence each in the Company ("Ordinary Shares") following the vesting of the award. The Company has varied the terms of the Cash Awards to allow them to be settled in cash at a cost of GBP7.50 per award (representing a discount of 2.3% on the closing mid-price of an Ordinary Share on 2 March 2017).
