It looks to me that Panmure Gordon are the NOMAD but the got approval of the offer price from Piper Jaffray. Wouldn't it usually be the NOMAD who did this work?

It's not a very liquid stock so it only takes a few disappointed PI's selling to move the price down. It will probably settle at some sort of a discount to the offer price, maybe nearer 285-290p. It's probably a bit small for merger arbitrageurs but in theory you could borrow money to buy the shares, hedge the FX risk and lock in a nice profit - assuming it all completes in December.
Alternatively, it's the market saying it's not going to happen. Have to see where the share price settles next few days I guess.

It may be a buying opportunity at a certain level, but the stock is still illiquid and even a modest amount of selling pressure will cause a mark down.

I wonder at what price buyers may be tempted?

This looks a done deal to me as 40% of the shareholders have given irrevocable undertaking to vote in favour. So given a counter bid is unlikely, you have to wait 3 months to get the funds and hope the £ does not strengthen much against the $ in that time.
If you can live with that, you can make 10% in 3 months I reckon.

The issue is the exchange rate in December. If it goes against us the cash offer will fall in sterling terms although a fall this far would seem unlikely

As already expressed here this announcement is rather disappointing, shame the management have gone for the soft option when the business seems to be performing well.

Can someone please help me here? The share price has fallen, but if there is a cash offer isn't this a buying opportunity? I'm a bit confused here as I thought that this was probably a "done deal".

If I read the announcement correctly then both the merger agreement and the motion to de-list need to pass. The latter needs 75% approval - can't see them getting that. Hopefully Blackrock et al will kick off as this is an incredibly poor result for shareholders and I would prefer to keep my share given the strength of current trading.
Wonder what price the shares will open at - sterling has strengthened last 24 hours.

Very poor results for shareholders. Glad i got bored and sold my holding about a month ago, i didnt miss anything.

Once again shareholders are dumped on by management.

Very disappointed at the boards decision to sell at 312 given the positive direction the company was going. I would have been prepared to continue as rather than this pound/ dollar dependant deal.

Neatly put Boonkoh. LSI have a strong finance department, so I'd expect them to be able to put out a trading update when they say. FWIW, my money's on your first option (good news soon). DYOR etc etc.

No update this morning then. Interestingly you can buy and sell in reasonable size at 304p, no spread. I'd say somebody knows something - but I don't have a clue what I think someone knows :)
