You need to get the message I'm afraid! I did some time back and managed to get out with a very small loss. These companies are being run into the ground - MRD, INO and BDT. Only one winner and it is not the private investor!

Why on earth do they not auction off 2 properties now? It has become clear that the Directors don't care one bit about the company or it's investors.

If they were to raise some cash that way, they could wipe the slate clean and go looking for a decent investment, and get the company back on track.

However it seems the chosen path is that of administration, and buying up the assets on the cheap with their chums.

MERIDEN RESULTS

Commenting, Russell Stevens, Chief Executive said:

"Two of our 2004 acquisitions failed to perform and management has taken the
tough decision of closing these operations. Our remaining core divisions have
continued to be profitable during the financial year. Indeed our recently
acquired Employee Benefits division has now established itself and has announced
some major blue chip account wins, with more announcements to follow. Our loss-
making French Logistics business is currently being evaluated. However, the
basic building blocks for success are in place and as a result the group is
poised for a period of sustained growth and we look forward to the future with
confidence"



Chairman's Statement

I am pleased to present this, my 2005 Chairman's report for Meriden Group plc.

During the year the Group made pre tax losses of #873,005 (2004: profit
#569,697) on a turnover of #8,891,713 (2004: #7,513,513).

The Group was, until this year, profitable since floatation on AIM in 2001 and
the Board anticipate a return to profitability as soon as the losses on the
French operation have been eradicated.

The remaining core divisions of IT Solutions, Marketing & Communications,
Management Consultancy and Outsourcing have delivered acceptable but
unspectacular results. However, the outlook for 2005/2006 is more encouraging
and significant and notable contracts have already been won by a number of these divisions.

As referred to in our Interim Statement, the Board has recruited further key
executives to strengthen its Head Office function in advance of our planned
expansion and I am therefore pleased to report the appointment to the Board,
from 1 February 2006, of Mr. Craig J. Povey as Chief Operating Officer who has

As I am sure many of our investors are aware our Chief Executive Officer Mr.
Russell Stevens had to take a period of compassionate leave to care for his
terminally ill wife. Unfortunately, Jane Stevens lost her battle with cancer in
October 2005 which necessitated Russell being out of the business for most of
the second half of the calendar year.

I am, however, pleased to report that he has now returned.
Despite the disappointing performance for the full year the Board has
nevertheless decided to recommend the payment of a final dividend for 2004/2005
of 0.006 pence per share.

Unfortunately the longer I look around the smallcaps the more dis-illusioned I become with the market as a whole - small investor gets taken apart more & more often

Sold these a while ago but saddened to see what looked a company with good potential fail pretty badly, in hindsight I shouldn't have invested (using the term loosely !!!) in the first place as I had grave reservations about the first purchase (which I expressed at the time), Moss Cottage - very poor location, can honestly see them making a big loss on this one.

The other properties are not much better - only one with potential is Fishmore but the investment required means the chances of it turning a profit are a good few years away yet

As an ex-holder my advise would be to anyone considering purchasing to stay well clear, at least for 12/18months anyway. It might be worth keeping an eye on INO for some sort of turnaround but it's certainly going to be a long, long haul from here

As already mentioned a possible scenario is where the directors use INO as a loss-leader & farm off the potentially lucrative properties into their own portfolios, tread carefully !!


-- regarding the ARX investment, recent events there now make me believe that if INO had not been so cash-strapped & been able to maintain the ARX shares for longer they could well have seen some better returns

Marvelman - u r so right about the mis-management of this shambles.
But r so wrong about their ability to make money, for themselves.

On thing's for sure - the directors will be having a great Christmas paid for by hapless investors in INO.

WAKEY WAKEY RAMPERS - time to fill yer boots bozzy and co - you guys start shouting on this board to push the price up then are 'surprised' when it crashes - you have done this many times before and have no doubt made a packet st the expense of your gullible followers.

Innobox is was and always will be a bad investment, except for its directors.

I have just been going through my notes on fishmore hall, it was purchased at a cost of 542 500
we have a loan from a co investor of 125k and the mangment couple of 60k the mortg is 349k, yet we own 75.01% of the subsidiary buying it. Im no chart acc but that gives us 75% exposure to this project (and risk) at no cost, as yet until redevelopment work starts and the site increases in value.
it is the samae with the royal oak and we all know there they picked up 10% for nowt, that strikes me as a pretty clever bussiness plan, it must be nice to have friends who will chuck 100k around ata time to get some exposure to russell stevens game plan.
Russell also has plans for a number of outbuildings on the site, remember the royal oak has planning application for 2 houses in the car park.

Sounds a lot LS, but I have most of that myself. One thing that occasionally puzzles me a little is why a company this small ended up listed in the first place. Perhaps someone with more history that me here can clarify. If it was mine, I think private investors would be more attractive than the vagaries of the market.
