HICL Infrastructure Company Limited (the 'Company')

Interim Dividend

HICL Infrastructure Company Limited is pleased to announce a second interim dividend of 3.5 pence per ordinary share for the financial year ended 31 March 2012. The second interim dividend of 3.5 pence per share will be paid on 29 June 2012 to holders of ordinary shares on the register as at the close of business on 20 April 2012. For the avoidance of doubt, no part of this dividend shall be attributable to the Company's C Shares, and holders of the Company's C Shares will not be entitled to payment of a dividend.

As in previous years, the Company will also be offering shareholders a scrip dividend alternative to the interim dividend. A circular and form of election will be sent to shareholders in May, and if shareholders wish to receive all or part of the interim dividend by way of new shares in the Company, the form of election should be completed and filed by 12 June 2012. If no action is taken, the interim dividend will be paid as cash, unless a standing election has been completed previously.

The Company will announce its Annual Results for the year ended 31 March 2012 on 23 May 2012.
