Conversion of C Shares

The Board of HICL Infrastructure Company Limited (the 'Company') is pleased to announce that, following admission of the C Shares to the Official List and to trading on the Main Market of the London Stock Exchange on Friday, 30 March 2012, the C Share monies have now been invested. In accordance with the terms of the C Shares, the Directors have determined that the Calculation Time for the conversion of C Shares into Ordinary Shares is today, 20 April 2012 and, as a result, the conversion will be made on the basis of the respective net asset values of the C Shares and Ordinary Shares as at close of business today.
