                         rollover their investment into a open-ended vehicle    
                         managed by Henderson Global Investors.
                         Options:
                         1) To elect for shares in Henderson Japan Capital      
                            Growth Fund, based upon the Terminal Asset Value &  
                            the Henderson Japan Capital Growth Fund issue price 
                            at 12noon on the effective date.
                         2) Cash equal to the Terminal Asset Value.
                         3) Holders of than 5% of the issued share capital can  
                            elect to receive a share of the company's           
                            investments by way of an in specie distribution.
