Class Conversions: Final Ratios

In respect of the March 2011 Conversion Calculation Date and on the basis of the net asset values of the Company's Ordinary Shares as at 31 March 2011 as previously announced (and using spot currency exchange rates as appropriate, in each case as at 31 March 2011), the Conversion Ratios, calculated in accordance with the Company's articles of association are as follows:

 
 0.8624 US$ Shares for every one GBP Share 
 0.8894 EUR Shares for every one GBP Share 
 1.1244 GBP Shares for every one EUR Share 
 0.9697 US$ Shares for every one EUR Share 
 1.1595 GBP Shares for every one US$ Share 
 1.0313 EUR Shares for every one US$ Share 
 

On the basis of the aggregate level of Conversion Notices received by the Company as previously announced, application has been made to the UK Listing Authority for 5,750,892 new US$ Shares of no par value to be admitted to the Official List. Application has also been made for such Shares to be admitted to trading on the London Stock Exchange. It is expected that such admissions will be effective and that dealings in the new Shares will commence on 26 May 2011.

Accordingly, the Company's issued share capital with effect from 26 May 2011 will be as follows:

 EUR Shares    7,152,318 
 US$ Shares    42,862,055 
 

All shareholders have equal voting rights based on the number of shares held. Accordingly, the total number of voting rights in the Company is 171,138,211 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FSA's Disclosure and Transparency Rules.
