Class Meetings of Income and Capital Shareholders

The board of Framlington Income & Capital Trust PLC announces the results of
the Class Meetings of Income and Capital Shareholders held today, 22 September
2008.

Separate Class Meeting of Income Shareholders

The resolution set out in the notice of the Separate Class Meeting of Income
Shareholders dated 27 August 2008, sanctioning the passing and implementation
of the resolutions to be proposed at the Extraordinary General Meeting to be
held on 30 September 2008, was passed at the Class Meeting held today.

17.6 million votes were cast by proxy in respect of the resolution: 17.55
million were in favour of the resolution or left to be cast at the discretion
of the Chairman, 30,000 votes were against and 2,000 votes abstained.

Separate Class Meeting of Capital Shareholders

The Class Meeting of Capital Shareholders was not quorate and has been
adjourned to 11.05 am on Monday 29 September 2008.

4.9 million votes were cast by proxy in respect of the resolution: 4.88
million were in favour of the resolution or left to be cast at the discretion
of the Chairman, 30,000 votes were against and 4,000 votes abstained.
