Vesting of Shares

In accordance with Disclosure Rules 3.1.4 R, we write to inform you that on 27(th) May 2011 the Company vested the following shares under the Forth Ports PLC Long Term Incentive Plan adopted by the Company on 3 May 2006:-

These shares represent the pro rata vesting of awards granted in 2009 and 2010 and the exercise of the option granted to Stuart Paterson as disclosed in the Circular dated 31(st) March 2011 sent to shareholders in connection with the offer by Otter Ports Limited.

Following this notification, the Executive Directors and PDMR's are now interested in the following Ordinary Shares of 50p in the capital of the Company, namely:
