Pursuant to art. 56, clause 1, item 1 of the Act on Public Offering, Conditions
Governing the Introduction of Financial Instruments to Organised Trading, and
Public Companies dated July 29th 2005 (Journal of Laws of 2005, No.184 item
1539) the Management Board of Telekomunikacja Polska S.A. ("TP S.A.") hereby
announces that on 26 October 2005, TP S.A. concluded with France Telecom Mobile
International S.A., a wholly-owned subsidiary of France Telecom, a provisional
agreement for the purchase by TP S.A. of the 34% stake in PTK Centertel Sp. z
o.o. ("PTK Centertel") for total cash consideration of PLN 4,880 million.

Following the transaction, TP S.A's direct stake in PTK Centertel will increase
from its current level of 66% to 100%.
