               The Fleming Income & Capital Investment Trust PLC.
                              Rollover Results



Following the second Extraordinary General Meeting of The Fleming Income &
Capital Investment Trust plc ("the Company") held on 1 March 2002 at 10:30 a.m.
the Company was placed in members' voluntary liquidation with Messrs. R V Y
Setchim and I C O Smith of PricewaterhouseCoopers being appointed liquidators of
the Company.



Final Entitlements



The Residual Net Asset Value of the Ordinary Income Shares has been calculated
at 98.3838 pence per Ordinary Income Share.  This is in addition to an interim
dividend of 2.0p per Ordinary Income Share which was declared and paid on 27
February 2002 to Ordinary Income Shareholders on the register of members on the
record date of 8 February 2002.



Zero Dividend Preference Shareholders will receive their final capital
entitlement of 85.2p per Zero Dividend Preference Share.  This represents their
full final capital entitlement provided in the Articles of Association of the
Company.



These entitlements apply for all Zero Dividend Preference Shareholders and
Ordinary Income Shareholders.



Under the Scheme, it was not necessary for the Directors of the Company, in
conjunction with UBS Warburg, to apply any scaling back to Shareholders and
elections for JPMFIC Shares have therefore been satisfied in full.



JPMorgan Fleming Income & Capital Investment Trust



The Scheme offered Shareholders and Unitholders the option, in full or in part,
of a cash exit, (through the mechanism of Cashco Shares) or a rollover of their
investment into JPMorgan Fleming Income & Capital Investment Trust plc, a new,
UK domiciled, London listed, closed-ended investment company.



As a result of elections made under Scheme and applications under the Offer for
Subscription and Placing, the initial gross assets of JPMFIC are expected to be
approximately £173 million.

JPMFIC Ordinary Shares, JPMFIC Zeros and JPMFIC Units issued in uncertificated
form credited to stock accounts in CREST



Dealings in JPMFIC commence



Cheques despatched and CREST participants credited through CREST in respect of
the Cash Option



Certificates despatched in respect of JPMFIC Ordinary Shares, JPMFIC Zeros and
JPMFIC Units
