Issue of Shares, Total Voting Rights and Director Shareholding

Energy XXI announces today that it expects to issue the following numbers of its US $0.005 common stock ("Shares") by an issue of new Shares as a result of the purchases under its employee stock purchase plan (ESPP), as well as a result of the vesting of employee restricted stock units (RSUs) and performance based units (PBUs).

July 2013 - 43,811 Shares (January 1, 2013- June 30, 2013 ESPP)

July and August 2013 - 233,120 Shares (June and July 2013 RSU and PBU vesting)

Included in the totals above are estimated Shares agreed to be transferred or issued to the Company's Chairman and Chief Executive Officer, John D. Schiller, Jr., under the ESPP and vesting of PBUs.
