Issue of Shares, Total Voting Rights and Director Shareholding

Further to the announcements of 14 December 2012, and 18 June 2013, Energy XXI announces that it has issued 47,198 common shares of US$0.005 each ("Shares") as a result of employee purchases under its employee stock purchase plan (ESPP). The Company has made application for the 47,198 Shares to be admitted to trading on AIM, which is expected to become effective on or around 8 July 2013.

As a result of the above, the Company's Chairman and Chief Executive Officer, John D. Schiller, Jr., has acquired 1,128 Shares under the ESPP at a price of US $18.85 per Share. In addition to these ESPP Shares, Mr. Schiller also acquired 561 Shares for 1 March 2013 to 30 June 2013 purchases through regular payroll deductions in the 401(k) Plan at an average price of US $25.42 per Share.

Follows is a summary of Mr. Schiller's estimated Share ownership which includes the ESPP Shares and includes the Shares acquired in the 401(k) Plan to date:

Mr. Schiller's percent of Issued Share Capital calculation is based off the last reported Shares in issue on 18 June 2013, plus the ESPP Shares stated above, for a total of 77,377,810 Shares in issue. Mr. Schiller's percent holding may change as a result of Share buybacks under the Share repurchase program since the previously announced Shares repurchased on 5 June 2013.

The Company expects to announce Shares repurchased from 19 June 2013 to 2 July 2013 on Wednesday, 3 July 2013.
