Directors Interests

Energy XXI announces that the Company has issued a total of 33,438 shares of US$0.005 common stock ("Shares") to its independent Board of Directors on 8 November 2011, pursuant to its independent director remuneration scheme, for the stock portion of their annual retainer which vests on the 2012 Annual General Meeting date, (each with less than 1% ownership) as set out below:

The above awards are to be satisfied by the issue of 33,438 new Shares for nil consideration.

Following these transactions, the Company has a total of 76,511,250 Shares in issue, excluding 256,353 treasury shares. The total number of voting rights in the Company is therefore 76,511,250. The Company has made application for the 33,348 Directors shares to be admitted to trading on AIM, which is expected on 16 November.
