Prospectus

The Company has published a prospectus dated 4 November 2014 (the "Prospectus") relating to the Company's offer (the "New H Share Offer") for subscription of up to 7,500,000 H shares of 10 pence each in the Company ("H Shares"), together with an over-allotment facility of a further 12,500,000 H Shares. The issue price under the New H Share Offer is the net asset value per H Share most recently published by the Company prior to the relevant date of allotment under the New H Share Offer, divided by 0.95 (rounded up to the nearest 0.01p), but will be discounted for successful early applications, as detailed in the Prospectus. The issue price is payable in cash in full on subscription.

The New H Share Offer opens at 8 am on 5 November 2014 and is expected to close at 5 pm on 2 April 2015 for investors seeking tax relief in the 2014/15 tax year and at 3 pm on 12 June 2015 (unless previously brought forward or extended by the Directors) for investors seeking tax relief in the 2015/16 tax year.

The Prospectus has been approved by the UK Listing Authority and will be available shortly on the National Storage Mechanism of the UK Listing Authority at http://www.morningstar.co.uk/uk/nsm.

Circular

The Company has also issued a circular to shareholders dated 4 November 2014 (the "Circular") in relation to:

   --           the New H Share Offer; and 

-- the approval of a new offer agreement between the Company and its investment manager, Edge Investment Management Limited, in relation to the New H Share Offer,

and including notices of a general meeting of the Company, and of a separate class meeting of holders of H Shares, to be held on 3 December 2014.

The Circular has been approved by the UK Listing Authority and will be available shortly on the National Storage Mechanism of the UK Listing Authority at http://www.morningstar.co.uk/uk/nsm.
