VOTING RIGHTS AND CAPITAL

In conformity  with the  Transparency Directive,  Eclipse VCT  2  plc
notifies the market of the following:

Eclipse VCT 2  plc's capital consists  of 18,587,046 ordinary  shares
with a nominal value  of 10 pence each,  with voting rights.  Eclipse
VCT 2 plc does not hold any Ordinary Shares in Treasury.
