   Issue of Equity 
 
   The Directors of Downing TWO VCT plc are pleased to announce an 
allotment on 6 July 2016 totalling 971,396 K shares of 0.1p each ("K 
Shares") payable at an average price of 104.08p per share pursuant to 
the Offers for Subscription that opened on 15 December 2015. 
 
   Application for the K Shares to be admitted to the Official List of the 
UK Listing Authority and to trading on the London Stock Exchange's 
market for listed securities will be made at the earliest practicable 
opportunity. 
 
   Following this allotment, the issued share capital and total voting
