The Company has been notified that on Friday, 3 March 2017, Fariyal Khanbabi, Executive Director and Group Finance Director of the Company, entered into the following transactions:

1. The exercise of a nil cost option over 10,445 ordinary shares of GBP0.0189 each in the Company ("Shares"), such option having been granted in March 2015 as a deferred share award under the Dialight plc Annual Performance Bonus Plan.

2. The sale of 4,962 Shares, acquired pursuant to the option exercise, at a price of GBP10.31 per share in order to satisfy the withholding tax payable in connection with the exercise and the commission arising on the sale.

Following this transaction, Fariyal Khanbabi now holds a total of 5,483 Shares, representing 0.017% of the total issued share capital of the Company.

This notification was received by the Company on 6 March 2017 and was made in accordance with the Market Abuse Regulation and Disclosure Transparency Rules.
