                              Director's Dealing


Cosmedia Group Holdings Limited (the "Company") announces that on 22 February
2007 it received notice that on 22 February 2007 Shine First Investments Limited
("Shine"), which is a company owned by Stanley Kit Pong, Executive Chairman and
a director of the Company, disposed of 1,613,000 ordinary shares of US$0.10 each
in the Company, representing 3.53% of the issued ordinary shares in the Company,
at a price of US$3.05 per ordinary share.  Following this disposal, Shine will
hold less than 3% of the issued ordinary shares in the Company and will
therefore no longer have a notifiable interest in the Company.

Following this transfer, Mr. Pong remains interested in 26,586,570 ordinary
shares representing 58.21% of the Company's issued share capital.

The percentage of the Company's issued ordinary shares in public hands,
following this transfer, has increased from 4%, at the time of Admission, to
7.7%.
