CMR Fuel Cells plc ("Company" or "CMR") 
 
 
Proposed return of cash by way of a tender offer and a special dividend, 
associated reduction of capital and cancellation of admission to AIM ("the 
Proposals") 
 
 
Further to the announcement made on 19 December 2008, the Company announces that 
it has today published a circular setting out details of the Proposals. The 
circular contains a notice convening a general meeting which will take place at 
10 a.m. on 6 February 2009 at  the offices of Investec, 2 Gresham Street, 
London, EC2V 7QP at which the approval of shareholders for the Proposals will be 
sought. 
 
 
The Proposals include, inter alia, a special dividend of 17 pence per share to 
be declared immediately following completion of the Tender Offer, in respect of 
those shares which are not successfully tendered under the Tender Offer. The 
record date for this special dividend will be 27 March 2009, the shares will be 
marked ex-dividend on 25 March 2009 and the special dividend will be paid on 1 
April 2009.
