Done deed?

'Further to the announcement made on 6 March 2008 of a recommended cash offer by Solarsoft to acquire the entire issued and to be issued share capital of Chelford, Solarsoft announces that the offer document (the "Offer Document")
containing the full terms of the Offer has been posted to Chelford Shareholders
yesterday together with the Form of Acceptance.


The Offer will be open for acceptance until 3.00 p.m. (London time) on 27 March
2008.


If you hold your Chelford shares in certificated form (that is, not in CREST),
to accept the Offer in respect of those Chelford shares you should complete,
sign and return the Form of Acceptance (together with your share certificates
and any other documents of title) as soon as possible and, in any event, so as
to be received by not later than 3.00 p.m. (London time) on 27 March 2008, to
Computershare Investor Services PLC, Corporate Actions Projects, Bristol, BS99
6AH.


If you hold your Chelford shares in uncertificated form (that is, in CREST), to
accept the Offer in respect of those Chelford Shares you should follow the
procedure for Electronic Acceptance through CREST so that the TTE instruction
settles as soon as possible and, in any event, not later than 3.00 p.m. (London
time) on 27 March 2008. If you are a CREST sponsored member, you should refer to your CREST sponsor before taking any action as only your CREST sponsor will be able to send the necessary TTE instructions to Euroclear in relation to your
Chelford shares.

No EGM, they know they have the quantity of shares to get the go-ahead. Now all we need is the payment date. Will it be this tax year or the next?

well hopefully we can see some improvement in share price and a bit of investor confidence going forward. doesn't seem to be any great disaster has befallen them just unfortunate management of a fixed price contract and taking the hit on it

It does look like the profit warning in December which knocked the share price has resulted mainly from temporary issues, both the difficulties around a fixed price contract and the delays in finalising contracts which were expected to be signed by the year end Q4.

Still believe Chelford can provide some good growth and as has been pointed out in the CharlesStanley note that the group now has the potential to generate significantly higher profits than those new forecasts. They point out that a rating of less than 10x current year forecasts does not reflect this potential and are currently rating the shares a Buy. (Note 16th Jan - price 162p)

They do point out that investor confidence has obviously been affected - but imo these provide some of the best times to pick up a bargain.

It seems that the management are content to see the value of the share price
spiral downward to the cost of all shareholders. A 33%+ de-valuation
in the last three months.

If a potential investor was to look at the share chart as a prelude to
researching or investing in this company He would wonder if it is
worth placing his money in CHR.

As a shareholder you expect to see fluctuations in the share price and any
sizable amounts downwards normally prelude a large buy,
but in this share all we see are continued 'hits' by MM's to reduce
the price. When there are investments, the price stays where it has
fallen to or recovers by a small percentage of its loss.

Only to be 'hit' again, in the next day or so.

I have seen other companies issue a statement on any large fluctuations,
as to the well being of the company and that they know of no reason
why there has been a drop in share price

With CHR management, what do we hear?

Nothing!

One tends to start to think that they don't care about investors. They
seem to have forgotten that they have a duty of care to shareholders
and that they have been placed in positions of power to over-see our
investments.

This decline in value has gone on for over three months and we are long
overdue some form of statement that should stabilise the share.

The trading update issued in July,



showed that we have 8 new customers so why are we being
'hit' as hard by MM's on a weekly sometimes daily basis?

Today is a good example, no trades, [11:40 am] and a 1.3% reduction in
SP. Not much, you may say, but on a daily basis, it is.

CHR Management. You need to act, and soon.

6 month Results are due two months from now. Do we have to see
another 22% of our investments go down the drain before you say
anything?

We should remember that any good news in September, IMHO,
may only send the share price back to the 3# mark, where we were when
trading was not showing signs of being too weak.
That is of course if the MM's want it to go back up.

Looks to be a classic case of MM's rule and the Management don't care.
They're both getting paid at the expense of the shareholders.

mmm, positive profit warning??!!

if this is only a temporary blip, then I am not too concerned as I am an investor not a trader...

PC - I know what you mean but many of the best investors - like Mr Buffet are very strong on points like not selling a good share just cos you are fed up of waiting for it to realise it's true value. It will come good at some point - with continued good trading it must do! Keep holding and dont regret selling too early....£3 will look a bad deal when it is £4.5 even if you had to sit tight for another six months or whatever. Having said that - it is tedious and the share price doesnt deserve to be this low currently imo. Although I wont be selling - I think a temporary barrier to quick rises will be holders like yourself wanting to get out because they are fed up of waiting!
Let us know if you do get out.

Surprised to see us heading back down so much again. I think the good thing is that volumes have been low lately - most of which have been buys. I think most investors in Chelford are very happy with the company's progress, are not so bothered by day to day movements and are in for the long term waiting for the £4+ days to come. Nice to see that there are not loads waiting to jump ship as I have noticed with many other shares recently.....

largeman - I agree - seems that on a lot of stocks the traders are there for a much better than expected statement to sell out on. When it doesn't materialise they sell out anyway imo.

Get the traders out of the way and wait for 'investors' to look at the results.

WJCC - difficult to compare like for like between two stocks which have some similarites. It may be visibility of earnings, it may be CHR's leading position in the sector, it may be how investors perceive management capabilities or past performance.

I just like CHR's two different wings to the business and the sector it is in.

3 brokers cover CHR, Strong buy, Hold and a Buy - that might be to do with it too.

Guys, I don't really want to get embroiled in this, but a penny share is, by definition, a share whose price is below £1. Why is such a distinction made? Because, rational or not, there is a psychological effect associated with low share prices. However, the term has been corrupted into a general method for referring to small-cap/micro-cap stocks. You might be interested to know that UK investors tend to like shares with prices in the £1-5 range, whereas US investors tend to like shares with prices in the $20-200 range.

OK, I'm starting to bore myself now.
