Result of EGM and Board Appointment


Bullough confirms that following the EGM on 4th April the resolution to dispose
of Product Procurement Services Limited, its facilities management subsidiary,
was approved by shareholders and that the transaction was subsequently completed
on 12 April 2002.


As set out in the circular to shareholders, Sir Michael Pickard stood down as
Chairman after the EGM and Howard Marshall succeeded him with immediate effect.


Howard Marshall, 58, was appointed to the board as Executive Deputy Chairman in
November 2001. He was previously Chief Executive of Ash & Lacy plc for 11 years
until its acquisition by Hill & Smith Holdings PLC in November 2000. He was also
a Divisional Managing Director at Bullough for four years until 1989 where he
was responsible for the Group's refrigeration, polymers and general engineering
operations.



He is currently Non-Executive Director of Hill & Smith Holdings PLC.
