                              Change of Directors





Following the disposal of its trading businesses, the directors of Bright
Futures Group plc ("Bright Futures" or "Company") have concluded that it is in
the best interest of shareholders for them to step down from the board in favour
of individuals who specialise in identifying and acquiring small businesses.



Accordingly, Stephen Harpin, Anthony Leon and Emma Myers have all resigned with
immediate effect.  In their place, Mr Marcus Yeoman, aged 43, and Mr Duncan
Stewart Ralph, aged 44, have been appointed as directors.  Mr Yeoman and Mr
Ralph will be responsible for identifying and negotiating the terms of a
suitable investment or acquisition by the Company.



Mr Yeoman is currently a director of AIM listed Enterprise North Plc and the
private companies Springtime Consultants Limited, Powamatique Limited and NCI
(UK) Limited.  Within the preceding five years Mr Yeoman was a director of
Westgolf (UK) Limited, Powabyke Limited and Pacemaker EV Limited.



Mr Yeoman resigned as a director of Westgolf (UK) Limited on 30 November 2002
and this company was placed into liquidation on 30 June 2003.



Mr Ralph is currently a director of the private companies Revhold Limited and
Availability Systems Limited.  Within the preceding five years Mr Ralph was a
director of Solectron Europe Limited, Solectron Quartz Limited, C-Mac
Microcircuits Limited, C-Mac Microcircuits UK Holding Limited, C-Mac
Microcircuits UK Opco Limited, C-Mac Quartz Crystals Limited, C-Mac
Microcircuits North America Limited, C-Mac UK Holding Limited, C-Mac Frequency
Products Limited and Blue Star Engineering Limited.



There is no other information required to be disclosed pursuant to Schedule Two
(g) of the AIM Rules.
