Think this company is bust. Another Mike Edelson vehicle as they say. One of the non-execs of Bright Futures is a fund manager (or was) for it - Emma Victoria Edelson. What does that say about Bright Futures.

Shares in Tera Group (TAG) fell after the investment company announcement ambitious plans to enter the natural resource sector via an acquisition. The troubled internet vehicle appears to have called it a day with its existing portfolio, and provided shareholder authorisation is given, the company will shortly sell its investments to a yet to be named new company, in return for a 49% stake in its ongoing business.

The proposed change in direction comes as a result of what the London based outfit describes as 'difficulties in the technology sector', coupled with Chairman Michael Edelson's belief that Tera cannot achieve significant returns in the short term if it continues on its present course.

Recently Edelson received an approach from a group of investors involved in the natural resource sector, who indicated their intention to provide further finance if Tera considered some mining investments. The company is currently considering a number of these, which it intends to pursue if shareholders approve a series of resolutions at a forthcoming EGM.

"This is a good opportunity for us," Edelson insisted this morning. "If the resolutions are approved it will steer the company in a new direction. The slow recovery of the technology sector has meant that we have had to explore other avenues in order to provide shareholders with increased value."

Meanwhile Tera is proposing a complicated restructuring of the share capital, an exercise which will soon accompany a rights issue. Shares are currently trading 4% lower at 0.13p.

Price strengthening nicely to a more realistic level. Hope this is maintained.

With Comdirect max buy is 25,000 @ 9.5
max sell is 50,000 @ 7.88.

Seems to indicate the Market Makers still looking for more shares.


Spoke to the Finance Director on the day the results were released. He indicated there would be an investors website launched within the next few weeks as the company worked to raise their profile.
I expect we will also get an RNS to confirm the opening of the next two stores by end June to keep the newsflow going.

It was from that discussion also that I got confirmation that the profit on disposal is included in operating profit as I also had that as a query.

Finally I got an unspoken impression that acquisition may be a road to growth hence my comment in previous post.

I don't know the rules for such accounting but I can't see an exceptional which could cover it.
I think the accounts look decent given what the company is trying to do.

Such an increase in turnover, even at breakeven is impressive.

But mainly I was delighted to read your "cold voice of reason" posting.

I think all investors/traders should have a dell314 sitting on one shoulder.

I got a similar explanation from the company in relation to the Director Share sales in a phone call just before Christmas. Also a positive upbeat assessment of status on the new stores. My feeling is that these Director sales have given investors an excellent buy-in opportunity.

From the comments in the interim accounts Profitability seems very close within a very tight business model of stores located strategically close to head-office
to minimise growth in central overheads.

Though I have no knowledge I would not be surprised if the realisation of funds from the Joint venture was simply to support the new store roll-out and current store refit through own resources.

I like the way they talk about the company and the (apparent) growth without overextending.

I hope they can manage as well as they talk because I have bought in this afternoon, not yet showing, on the basis that the next news when it comes will confirm an undervaluation. Looking forward to the next results or perhaps a trading statement in the meantime.
