Director/PDMR Shareholding

BOS GLOBAL Holdings Limited ("BOS" or "the Company") (AIM: BOS), the software developer focused on optimising employee/individuals' productivity, has been notified that on 13 March 2017 that Mr. Michael Travia, Managing Director of the Company, transferred 28,635,851 ordinary shares, constituting 41.9% of the Company's issued ordinary share capital, from DJ Family Group Pty Ltd as trustee for the DJ Family Trust ("DJFT") to Innovation Corporation Limited ("Innovation"). Innovation is a Hong Kong registered company of which Mr. Travia is the sole shareholder and beneficial owner. Innovation was incorporated on 21(st) February 2017 as an investment company for the management of the wealth of Mr. Travia.

As a result of this transfer DJFT no longer holds any shares in the Company. There was no change in the ultimate beneficial ownership of the shares in the Company as a result of the transfer.

The share transfer has been undertaken in conjunction with Mr. Travia's planned relocation from Australia to Hong Kong to establish the BOS GLOBAL Asia Pacific representative office.

The Company advises that the GBP1.392m Convertible Note agreement ("Note") with DJFT has also been assigned to Innovation and further drawdowns on the note facility which was announced on 30 August 2016 will be provided by Innovation.
