Director Shareholding

The Company has been advised that, yesterday, Mrs Linda Cleaver transferred
362,453 ordinary shares to her husband, Mr Robert Cleaver, a director of
Basepoint, for nil value.

Mr Cleaver's current beneficial holding in the Company remains as follows:

       R J Cleaver's family                        

           384,453                                3.43%


In addition to the above, Mr Cleaver, together with Mr B S Keys, a former
director of the Company, is beneficially interested in the City of Birmingham
Securities Pension Scheme ("the Scheme").

The Scheme's current holding in the Company is as follows:
