INTENTION TO DELIST FROM THE TOKYO STOCK EXCHANGE
AND THE OSAKA SECURITIES EXCHANGE

A Share Exchange Agreement entered into on December 25, 2001 between The Asahi
Bank, Ltd. (President: Yukio Yanase) (the "Bank") and Daiwa Bank Holdings, Inc.
(President: Yasuhisa Katsuta) ("DBH") was approved at an Extraordinary General
Meeting of Shareholders of the Bank held on January 24, 2002, as well as at each
Special Meeting of holders of each class of preference shares of the Bank. As a
result, effective March 1, 2002, the Bank will become a wholly owned subsidiary
of DBH by way of share exchange under the Commercial Code of Japan. We are
therefore now issuing this notification that the common shares of the Bank will
be delisted under the rules of the Tokyo Stock Exchange and the Osaka Securities
Exchange, on which the Bank's common shares are now listed, in accordance with
the schedule described below.

(The debating described in this notification is subject to the condition that
the Share Exchange Agreement will be approved at an Extraordinary General
Meeting of Shareholders of DBH which will be held on February 22, 2002, as well
as at each Special Meeting of holders of each class of preferred shares of DBH,
and that the share exchange will be approved by the Financial Services Agency.)
