Board Changes

On 10 December 2013, the boards of Andor and Oxford Instruments plc ("Oxford") announced they had reached agreement on the terms of a recommended cash offer to be made by Oxford Instruments Nanotechnology Tools Holdings Limited ("OINTH"), a wholly owned subsidiary of Oxford, for the entire issued and to be issued share capital of Andor ("the Offer").

Following the announcement this morning that the Offer is now unconditional in all respects and that OINTH intends to procure that Andor applies to cancel the admission to trading of Andor Shares on AIM, the non-executive directors of the Company (namely Colin Walsh, William Rhodes, William Parsons and Jim Haynes) have resigned with immediate effect.

In addition, Jonathan Flint and Kevin Boyd were appointed as directors of the Company today.

Jonathan Flint (full name David Jonathan Flint), aged 52, is currently the Chief Executive of Oxford. Jonathan holds a BSc in Physics from imperial College and an MBA from Southampton University. He is a Fellow of the Institute of Physics, the Royal Academy of Engineering and the Institution of Engineering and Technology. He was awarded the CBE in the 2012 New Year's Honours for services to science and business.

Kevin James Boyd, aged 49, is currently the Group Finance Director of Oxford. Kevin holds a BEng in Electronic and Information Engineering and is a Chartered Engineer, Chartered Accountant and a Fellow of the Institute of Chartered Accountants and the Institution of Engineering and Technology.
