Cancellation of 20,388,179 Ordinary Shares held by Ambrian plc

Further to the announcement by Ambrian plc (the "Company") on 20 July 2016, the Company confirms that the Board of Directors of the Company has today passed a resolution to cancel the Company's holding of 20,388,179 of its own ordinary shares of GBP0.01 each, with immediate effect.

Such 20,388,179 ordinary shares in the Company were the remaining 20,388,179 of the aggregate 20,888,179 ordinary shares in the Company originally acquired by the Company as a result of certain distributions in May 2015 by Consolidated General Minerals plc ("CGM") to its shareholders (including the Company) of initial convertible securities of GBP0.01 each in the Company and second tranche deferred convertible securities of GBP0.01 each in the Company issued by the Company on 8 May 2015 to CGM. All such convertible securities have prior to the date of this announcement converted (in accordance with their terms) into the same numbers of ordinary shares of GBP0.01 each in the Company.

Ordinary Shares in issue and Total voting rights

Whilst the cancellation of such 20,388,179 ordinary shares in the Company has reduced the total number of ordinary shares of GBP0.01 each in the Company ("Ordinary Shares") now in issue, such 20,388,179 ordinary shares in the Company have not carried voting rights since the date of their acquisition by the Company.

Of the 265,700,871 Ordinary Shares now in issue, 4,500,058 Ordinary Shares are held by the Company in treasury and a further aggregate 8,484,466 Ordinary Shares are held by the Company's wholly-owned subsidiary, Ambrian Metals Limited, all of which Ordinary Shares do not carry voting rights whilst so held.

Accordingly, the total number of Ordinary Shares in the Company with voting rights is 252,716,347. This figure of 252,716,347 may be used by shareholders in the Company as the denominator for calculations to determine if they have a notifiable interest in the Company under the Disclosure Guidance and Transparency Rules, or if such interest has changed.
