Top up Offer for subscription of New Ordinary Shares of 5p each

(the "Offer")

Amati VCT 2 plc announces an allotment on 30 January 2017 of 437,994 New Ordinary Shares pursuant to the Offer. In accordance with the Terms and Conditions of the Offer, the Offer price at which New Ordinary Shares were allotted, which was calculated by reference to the net asset value of an ordinary Share on 26 January 2017, was a price of 123.98p per ordinary share (net asset value divided by 0.99 to allow for issue costs of 1.0 per cent).

Following the allotment, the total number of Ordinary Shares in issue is 32,643,069 with voting rights.

Admission date of the New Ordinary Shares is expected to be 7 February 2017. CREST accounts are expected to be credited within five business days of allotment and definitive documents of title are expected to be dispatched within ten business days of allotment.
