Abacus Group plc ("Abacus") announces that, following the declaration that the 
recommended cash offer (the "Offer") made by Electron House (Overseas) Limited, 
a wholly owned subsidiary of Avnet, Inc., ("Electron") for the entire issued and 
to be issued share capital of Abacus is unconditional in all respects, it has 
received and accepted the resignations of Martin Kent, Peter Allen, Anthony 
Westropp, Robert Lambourne and David Weir, as directors of Abacus and has 
appointed Raymond J. Sadowski, David R. Birk, Patrick Zammit and Peter Bielefeld 
as directors of Abacus. The resignations and appointments all took effect from 
27 January 2009. 
 
 
Pursuant to Listing Rule 9.6.13R, it is disclosed that within the previous five 
years David R. Birk has been a director of UAP Holding Corp. and David R. Birk 
and Raymond J. Sadowski have been directors of Horizon Technology Group plc, 
which has since delisted from the London Stock Exchange and the Irish Stock 
Exchange. In the case of Horizon Technology Group plc, David R. Birk and Raymond 
J. Sadowski remain directors of the unlisted entity.

9.6.13R.
