Canadian Overseas Petroleum Announces Voting Results from the 2014 Annual General Meeting of Shareholders

Calgary, Canada, June 13, 2014 - Canadian Overseas Petroleum Limited ("COPL" or the "Company") (TSX-VENTURE: XOP) & (LSE: COPL) is please to announce that at its Company's annual general meeting of shareholders held on June 12, 2014, COPL's shareholders approved the resolutions outlined in the Notice of 2014 Annual General Meeting and Management Proxy Circular dated April 15, 2014.

During business proceedings at the meeting, shareholders approved the following resolutions:

1. Election of Directors

2. Appointment of Auditors By resolution passed by a show of hands, Deloitte LLP was appointed as auditor of COPL for the ensuing year and authorizing the directors to fix the auditor's remuneration.

3. Approval of Stock Option Plan By resolution passed by a show of hands, the Stock Option Plan of the Company was approved.

4. Approval of Long Term Incentive Plan The Long Term Incentive Plan of the Company was approved by a majority of disinterested shareholders.
