WOODROSE CORPORATION (TSX VENTURE:WRS.H) (the "Corporation") - The board of
directors have approved the consolidation of the outstanding common shares on a
2:1 basis. The Corporation currently has 10,332,656 common shares outstanding
and will have 5,166,328 shares (the "Replacement Shares") outstanding after
completion of the consolidation, subject to adjustment. The share consolidation
was approved at a special meeting of shareholders held on July 19, 2011.
The consolidation has been conditionally approved by the TSX Venture Exchange
("TSXV") and the Replacement Shares will begin trading on the NEX board of the
TSXV on a consolidated basis on July 16, 2012.
