Woodrose Corporation (TSX VENTURE:WRS.H) (the "Corporation") is pleased to
announce that it has completed the first closing of its previously announced
private placement of common shares. Under the first closing, the Corporation
issued an aggregate of 3,030,000 shares at an issuance price of $0.05 per share
for gross aggregate proceeds of $151,500.


The common shares issued under the first closing of the private placement will
be subject to a 4 month hold period in accordance with applicable securities
laws. The issuance of common shares is subject to final approval of the TSX
Venture Exchange.
