RMS SYSTEMS INC. (TSX VENTURE:RMS) (the "Company") announces that it has closed
the previously announced joint venture transaction with Phoenix Technology
Services Inc. ("Phoenix"). The joint venture transaction is described in the
Company's press release dated May 14, 2012.
