Oculus Receives Shareholder Approval for Proposed Corporate Changes

Oculus Ventures Corporation (the "Company") (TSX VENTURE: OVX.H)is pleased to
announce that at a special meeting of its shareholders held earlier today the
Company's shareholders approved a consolidation of the Company's issued
5,000,000 class A shares on a ratio of not more than 1 new share for 4 old
shares, the alteration of the names of the Company's shares, the continuance of
the Company to the Province of British Columbia, an increase of the number of
directors to six and the election of new directors and a transfer of class A
shares from current directors to incoming directors. 


The timing of implementation of such matters is to be determined by the
Company's board of directors and the other parties to such transactions and
further disclosure will follow when such determination has been made. These
matters remain subject to regulatory approval and customary closing conditions,
some of which are outside the control of the Company. Further information about
