NuLoch Resources Files Management Information Circular

NuLoch Resources Inc. (TSX VENTURE:NLR) (OTCQX:NULCF) advises that it has mailed
a Management Information Circular to its shareholders in respect of its pending
transaction with Magnum Hunter Resources Corporation (NYSE:MHR). The Circular is
also available under NuLoch's profile at www.SEDAR.com.


On January 19, 2011, NuLoch announced its intention to merge with Magnum Hunter
in an all-share transaction pursuant to a plan of arrangement. The transaction
is subject to approval by the shareholders of NuLoch and Magnum Hunter. Those
approvals will be sought at meetings scheduled to be held in late April. Closing
is expected to be completed shortly after the meetings and will be subject to
customary conditions and regulatory approvals.


The boards of directors of each of NuLoch and Magnum Hunter have unanimously
recommended that their respective shareholders vote in favour of the
transaction.
