Northcore Calls an Annual and Special Meeting of its Shareholders

Northcore Resources Inc. ("Northcore" or the "Corporation") (TSX VENTURE:NCR)
wishes to announce that it has called an Annual and Special meeting of its
shareholders for February 25, 2014.


The meeting is called to:



1-  Appoint the Corporation's Auditors for the coming year;               
                                                                          
2-  Elect five (5) Directors to the Board of Directors;                   
                                                                          
3-  Approve the Annual Resolution authorizing the Share Option Program;   
                                                                          
4-  Consolidate the Corporation's share on a maximum basis of twenty (20) 
    old shares for one (1) new share, the final ratio to be determined by 
    the Board of Directors at their discretion;                           
                                                                          
5-  Establish Restricted Share Units ("RSU") and Deferred Share Units     
    ("DSU") incentive programs for Directors, Officers, Employees and     
    Consultants, and Approve the grant of one million RSUs to a Director. 
                                                                          
    The persons who might be beneficiaries under these programs will not  
    be eligible to vote their shares under this Resolution.

shareholders of record on January 16, 2014. The texts of these documents and the
