Millrock Announces Non-Brokered Private Placement

NOT FOR DISSEMINATION IN THE UNITED STATES OR THROUGH U.S. NEWSWIRES

Millrock Resources Inc. (TSX VENTURE:MRO) announces a non-brokered private
placement of 20,000,000 units at a price of $0.05 per unit, totaling gross
proceeds of $1,000,000. Each unit will consist of one common share of Millrock
and one share purchase warrant (the "Warrants"), with each Warrant entitling the
holder thereof to purchase one additional common share at a price of $0.10 per
share for a period of five years. 


Proceeds from the financing will be used to generate further projects in Alaska,
Mexico and the southwest United States and for general corporate purposes.  


Finder's fees of 8% cash and 10% finder's warrants ("Finder's Warrants") may
become payable in connection with this private placement. The Finder's Warrants
will entitle the holder thereof to purchase units at an exercise price of $0.05
for a period of three years, the units having the same terms as described above.



The financing is subject to approval from the TSX Venture Exchange.
