                                     at least 20% higher than the Floor
                                     Price at the time of conversion.

Interest rate:                       8 % per annum. A portion of the
                                     interest due on the Debenture is
                                     payable annually in common shares.
                                     The 50-business day VWAP will be used
                                     to determine the price of the common
                                     shares issued to satisfy the interest
                                     obligation. Only 1.6% per annum of
