the withdrawal of its amended and restated preliminary prospectus dated May 13,
2013 due to the expiry of the period to file a final prospectus under applicable
securities laws. Lateral continues to pursue financing opportunities to fund the
proposed acquisitions of petroleum and natural gas assets (as further described
in the news releases dated May 6, 2013, March 11, 2013, February 13, 2013,
December 14, 2012 and November 28, 2012, all of which are available on SEDAR at
www.sedar.com) that may include a private placement of common shares, preferred
shares or debt instruments or the establishment of a debt facility. The
completion of any financing will be subject to the approval of the TSX Venture
Exchange.
