Genterra Capital Inc. Announces Sunset Clause Expiry Date on Outstanding Genterra Inc. Shares

TORONTO, May 9, 2014 /CNW/ - GENTERRA CAPITAL INC. (TSX Venture: "GIC" - Common) would like to remind holders of Genterra Inc. shares of the upcoming expiry date of the 2008 share exchange sunset clause.

The June 10, 2014 expiry date for exchange of shares by holders of Genterra Inc. into shares of Genterra Capital Inc. (the "Expiry Date") is the sixth anniversary of the June 10, 2008 listing and commencement of trading of a new class of Common Shares of Genterra Inc. on the TSX Venture Exchange under the symbol "GIC". The new listing and commencement of trading was part of the reorganization of Genterra's share capital (the "Reorganization") as a result of an amendment of its Articles to reclassify:  (i) its Class A Subordinate Voting Shares and Class B Multiple Voting Shares into one new class of Common Shares, and (ii) its Preferred Shares into one new class of non-voting preference shares known as Class B Preference Shares. 

Under the terms of the Reorganization the six year sunset clause provision provides that any certificate which immediately before the effective date of the Reorganization represented Pre-Reorganization shares and which has not been surrendered on or before the Expiry Date for exchange into Post-Reorganization shares will cease to represent any claim against or interest of any kind or nature in Genterra and the interest of such holder of Pre-Reorganization shares in Genterra shall be terminated without any repayment of capital or any other compensation in respect thereof.

To receive certificates representing their Genterra shares, registered Genterra shareholders must submit their share certificates, together with completed letters of transmittal, to Genterra's transfer agent, Computershare, 100 University Avenue, 9th Floor, Toronto, ON M5J 2Y1 Attn: Corporate Actions. Registered Genterra shareholders who have not received letters of transmittal should contact Computershare at 1-800-564-6253.
