Exceed Announces Proposed Consolidation of Its Class A Common Shares

Exceed Energy Inc. (the "Corporation") (TSX VENTURE:EX.A) announces that it will
seek approval at an annual and special meeting (the "Meeting") of shareholders,
scheduled for June 24, 2009 in Calgary, to consolidate (the "Consolidation") its
issued and outstanding Class A common shares ("Common Shares") at a ratio (the
"Ratio") of one (1) new Common share for up to every ten (10) outstanding Common
Shares, the final Ratio to be determined by the Board of Directors after the
Meeting. No name change will be undertaken in connection with the Consolidation.


The resolution regarding the Consolidation must be approved by at least two
thirds of the votes cast at the Meeting. The Consolidation is also subject to
final approval by the TSX Venture Exchange Inc. Currently, there are 64,522,527
Common Shares outstanding. Following the Consolidation, and assuming that the
Common Shares are consolidated at a 10:1 Ratio, there will be approximately
6,452,253 Common Shares outstanding. 


The Board of Directors of Exceed has concluded that the Consolidation is in the
best interests of the shareholders as it could lead to increased interest by a
wider audience of potential investors and would better position the Corporation
to obtain financing and pursue acquisition opportunities.
