TSX VENTURE COMPANIES ANGOSS SOFTWARE CORPORATION ("ANC") BULLETIN TYPE: Property-Asset or Share Purchase Agreement BULLETIN DATE: March 20, 2009 TSX Venture Tier 2 Company TSX Venture Exchange has accepted for filing documentation pertaining to an asset purchase agreement (the "Agreement") dated December 4, 2008, between Angoss Software Corporation (the "Company") and The Fuller Landau Group Inc. (the "Vendor"). The Vendor acted as the interim receiver over the assets, property and undertaking of dthree Inc. and D3 Management Corporation (collectively, the "Debtors"). Effective December 24, 2008, the Company has purchased certain assets, property and undertaking of Debtors from the Vendor. As consideration, the Company shall pay the Vendor $1,888,000, subject to the payment of additional consideration of up to $750,000 based on achievement of the business of specified revenue targets during the period from closing to January 31, 2010. The transaction has been funded through a 3 year term facility provided by arms-length lender, of up to $2,900,000 (the "Acquisition Facility") and up to $500,000 (the "Working Capital Facility"), in which the Acquisition Facility bears interest at a rate of prime + 3% per annum and the Working Capital Facility bears interest at a rate of 12.75% per annum. In the event of default, the interest rates under the Acquisition Facility and the Working Capital Facility will increase to 18% per annum. The maturity date with respect to a portion of the facility may be deferred in certain circumstances for an additional 12 months. The Company has elected to not draw down funds under the Working Capital Facility and the lender's commitment with respect thereto has expired.
