26/1/2017 09:43 | Interesting discussion on ExtraInvestor yesterday, following closing of the Pertamina bid (which was declared successful). The relevant posts can be seen by using the link posted above, #472. The discussion was about whether 'Change of Control' in the ROFR clause means complete change of ownership by de-listing (improbable on reflection) or if effective control changes when majority ownership changes. This morning's post by Eric Fore seems decisive: "When we took over Artumas Group we did so by reverse takeover. We were careful not to buy more than 49.9% of Artumas, post investment, because having done so would have constituted change of control. I believe the same holds true for Pertamina's purchase of Maurel & Prom, so if their shareholding exceeds 50% change of control is triggered. I expect that we will hear something soon from Wentworth." Updating on the bid, the original schedule indicated that the Pertamina bid would reopen [tomorrow] for ten market days, and will close on Thursday 9th February. (I was wrong about M&P shares being suspended, they have been trading, albeit at low volume and are trading now at minuscule premium to the bid, implying no change in the bid is expected.) If Wentworth wishes to raise the finance to take up the ROFR on M-Bay this two week hiatus will be useful. Alternatively they might have negotiations with Pertamina on the way forward. | wbodger | |
