Only 17.91% held by major shareholders over 3%.

Only 4.76% held by directors.

77.33% are held by PIs

The stock was listed in 2015 at 1.5p. I believe the highest it ever got was 4.5p. If this goes to the vote all PIs including the major shareholders will vote in favour of the 14p offer. The directors won't because they'll be out of a job.

The offer will certainly be made formal. Don't let the MM rob you.

As the bid is unsolicited UPL could have made up the name 'SEC Capital' at this early stage to prevent a million PI shareholders from contacting and harassing staff at the company. The FCA would know the identity of the offeror.

The Wrong SEC Capital?I can't find a verifiable link to the Chinese SEC Capital. It could easily be a different SEC Capital, for example from a different country so having no UK listing anywhere. It could be an SEC Capital set up recently purely to acquire business like this one, thus not listed anywhere yet.

Unsolicited means the offeror has approached them without any prior discussions.

Is the unsolicited offer real?

YES. They would have needed to present the full details of the offeror to the FCA in order to trigger the Takeover Code 2.6(a) or any scam company could boost their share price by claiming they've been approached.

Why won't the management accept the offer?.

That's because they'll be all out of jobs and any buyout would put a halt to their lucrative pay packages for the next 10 - 20 years.

Buy at this price.

Why would they, the asset is in great location with massive hydrocarbons found near it. Also refinery being built close to it.

Selling does not indicate anything, as nobody knows anything that buyers do not know, they are not privy to any secret information, they are just choosing to take profit and reduce their risk level. If they bought at 2p and sell a third of their stock they have their investment back and loads of free stock to leave in as a free bet. Suggesting sells have anything to do with whether SEC will bid or not is just disingenuous.

Bidding war?
I predict a bid from SEC within the allowed time limit, at a higher price of 18p, hence I have taken a position. 3x this price for a smallish short term punt is worth the bet imvho. This bid could also wake up other companies including existing project partners, which brings up the possibility of a bidding war.

Exercise of Warrants and Subscription

Upland Resources Limited (LSE: UPL) is pleased to announce that it has received an exercise notice to exercise 61,640,000 warrants that were issued on 27 October 2022.

Additionally, we are pleased to announce the Company has placed 9.8m shares with a strategic partner at 2.05p

This warrant exercise and subscription will generate proceeds of GBP447,460

Bolhassan Di, Upland Chairman and CEO commented:
