10/2/2004 08:24 | PARIS (AFX) - Alcatel SA and Draka Holding NV said they have agreed to merge their fiber optics and communication cables activities into a separate, jointly held business. Alcatel will hold 49.9 pct of the new company, with Draka holding the remaining 50.1 pct. "In fiber and fiber cables, the combination would be the undisputed number one player in China, through the combination of Alcatel's assets with Draka's interest in YOFC, the leading Chinese optical fiber and fiber cable manufacturer," Alcatel said. Draka will issue 150 mln eur in new equity capital as part of the transaction, which will be fully underwritten by Draka's two main shareholders, Flint Holding NV and Parcom Ventures BV. Alcatel had long been expected to divest or find a partner for its loss-making fiber optics activities, and said it is playing "an active role in fostering the necessary consolidation of the fiber and fiber cable industry." Speaking at the 'Alcatel Forum' late yesterday, Houssin said:"All the divisions will be profitable and show growth in 2004." Private Communications accounts for some 30 pct of Alcatel's operations and combines Alcatel Space, enterprise solutions and rail activities as well as integration and services. In 2003, the division posted an about 10 pct dip in full year sales due to poor results from Space operations and an absence of major networks projects.
