Nothing is hidden - half year results were an improvement.

The general economic outlook is a concern, investors spooked - needing/preferring to be in cash/cutting losses.

TPG Services growing nicely – revenue up 14%, profit up 66%. Maritime even showing a slight profit despite onerous contracts weighing. Westek performing.

Refinancing is the dark cloud.

2021
TPG Services – Revenue £25.8M, profit £2.3M
Maritime – Revenue £18.5M, loss of £2.5M

H1 2022
TPG Services – Revenue £14.3M, profit £1.5M
Maritime – Revenue £10M, profit of £0.3M

Westek
Performing profitably again – looks like pre tax profit of £375k for H1 2022.
Pre-pandemic figures for Westek:
H1 2020, £0.2M profit on revenue of £1.8M,
FY2019, £0.6M profit on revenue of £3.9M.
Currently held as an asset for sale, and discussions continuing with a potential acquirer.

Looking at 1.1p to buy here today. Pondering whether to take a tranche as a small gamble but will keep on watch for now. SAG must be looking at taking out the company at these levels and disillusioned investors may just want out now. Despite all the skeletons with maritime and write downs the residual business sum of the parts still has a value in excess of today's market cap £11.3m imho.

Science groups approach here goes against all the progress made in corporate governance over the last 10 years. Allowing a minority shareholder to control a business and drive down the value is disgusting behaviour. The share register of science group includes some reputable investors who support the QCA and yet they are willing to turn a blind eye.

100% of a target company's share capital is acquired by a bidder under a scheme of arrangement approved by a majority in number, representing 75% in value of each class, of shareholders attending and voting at the relevant shareholder meeting.

If they buy out the other 5 institutional shareholders, it gets them to 75%, so they don't need the private investors.

Time is ticking on. Only a few more weeks before the 12 month ban is lifted on SAG making another offer for TPG. While SAG own 28% of the business, the next major holder is M&G who will be sitting on a major loss currently. So, what will be their bottom line in terms of sell out price? We know that Cannacord Genuity are already in bed with SAG (their discretionary clients own 16% of SAG), so will they (CG) stitch up some sort of deal with SAG before the next bid is tabled? As for the remainder of the TPG shares, they're mostly in the hands of private investors, it seems, so I can't see how they're going to be persuaded to relinquish their holdings below what Lindsay paid - 3.77p

Hi marktime good to see you I also retain a personal interest as I was a strong advocate for several years. I had simply omitted the HSBC pivotal position in my reply to fernandesb question. However as you know being a highly experienced investor yourself there are many factors that will determine the final price, one of which being SAGs desire to pay as little as possible for available assets.

If the 22 Cenkos forecast numbers are correct then the trading picture is way better than I thought and will have a significant bearing and much improve the base case scenario. The current value of maritime remains shrouded and it would be churlish to guess. Yes there could be good or bad news here nothing has changed has it!

There is a continuous and constant theme on TPG acquisitions - buying consultancies people will leave for better pastures and they did. We share several investment positions so I must wish you good luck!

It is disgusting behaviour by a minority shareholder who is attempting to get this business on the cheap. I remain very surprised that decent investors such as herald and Ruffer support the antics of science group. The corporate ethics of science group would be a good topic for discussion with the QCA. I do note they are not members!

100% agree doing absolutely nothing to attract investors, I remain highly disappointed that respectable investors like Ruffer and Herald support the approach that science group take as a minority shareholder in TPG.This goes against all their morals!
