I am more than happy with a free carry proposal. To hold a GM 14 days notice needs to be given so hopefully we will hear something soon at which point I expect more flesh will be put on the bones so that we can consider what to do.

We said over a year ago - no way they can pay the remaining 90% of TSHII

How could we be so confident - and so correct ?
The deluded have spent more than a year telling us that they would get funding , soon.
Now its 100% clear that funding is not going to happen before 31-12-2022
but most likely Never.

Surprise !!

The land is massively overpriced - what is it 240x the cost of Valkor's next door.

They "arranged" an "exclusive" option when they could not pay the deposit.
Of course it was exclusive - no one else wanted it for the last 7 years !

So of course the deal will be postponed

Most likely with $250,000 option "fee"

That £925k has to be spent on something !

Watch this space......

Re talking to the owner of TS2.

I would hope that Tomco have already had such a discussion with the owner whereby the owner would be open to extending the "exclusive option, at its sole discretion, to acquire the remaining 90% of the Membership Interests for additional cash consideration of US$16.25 million" if necessary.

If they owner is willing to extend the option, it would mean that Tomco would still hold the ace card. Its all about location, and going forward Tomco would HAVE to be included as the parties behind the proposal would not be able to secure the assets to progress

Disclaimer: Assuming that Tomco can remain solvent of course. Which may well be the motive behind todays cash call.

Let's see if the finance deal is completed before the 31 Dec and the 90% option purchased by Greenfield

The decision on shareholders to approve any proposal would hinge on what the estimated market cap of Tomco would be on conclusion of such a deal and what that means in terms of net asset value per share. Which in turn will determine any movement on the share price

I agree, in such a scenario, Tomco would essentially be farming out 'X' percentage of the pot in return for all funding required to develop all the projects on TS2, then just sitting back and taking their percentage share of revenues with no requirement from Tomco to finance any future costs on the site.

And that's why it is crucial that Tomco provide shareholders with the necessary data to make an informed decision at a General Meeting.

Thanks for the update Damac as to how I see it now is after Damac assessment which is normally fairly accurate accurate. Just need some gaps filling in which should come soon. I would see it as TOM being relieved of some debt and some future income, which could balance out, depending upon how the cake is carved up. Will be interesting how the share price moves from here. So much for oil production before Xmas.

They never did produce oil from sand, so having two plants not producing oil from sand doesn't make sense

I can't see a buy out ..

Either everything goes ahead as in today's RNS or

The 31 Dec arrives , finance not agreed , option lapses , valkor step in and buy the 100 % land

But Greenfield would still have the ISP of which Tom owns 50% ..so some new deal at reduced benefit to Tom

So I think Valkor can stop here and honour the deal so as not to tarnish it's reputation or they can continue to screw tom for everything

Only time will tell

It's not always as bad as you might think!

One of my other stocks (AEX) did something similar a while back, farming out it's Tanzania gas field to ARA Petroleum, as AEX did not have the huge cash needed to develop the field. It dropped from 75% ownership to 25%, but in return it got $35m in carried development costs, enough to get it to big commercial revenues from that field, and now it has cut all unnecessary costs and is sitting back waiting for the revenues to come through (which have since been brought forward by a year by the Tanzania Government, as it is fast tracking the pipeline to the gas plant). Once the revenues are flowing in, the low operating costs will leave them with big profits and a much higher share price than when they owned 75% but had no money to develop the field.

This is just an example of why a small percentage of something is better than a big percentage of nothing.

But suspend disbelief about CORT and that lot adds up to $300m
