I am not sure that there is much new here to drive the price forward - would like more disclosure on Korean business. 11/10/2018 08:53 | Downgrading of the listing to AIM from Premium is in my view negative. There tend to be several drivers typically: 1. Advisors see the possibility of increased fees. Both Nomad fees and an easier route to share issuance, and it gives them more freedom in choice of the parties to which shares are issued. 2. AIM rules make many things possible for a board without reverting to shareholders. 3. IHT planning, but that's likely to be removed in the not-too-distant future. 4. Related party rules are much slacker, allowing a paid Nomad to judge what is acceptable and what is not. Irrespective of what they say, that is rarely in the interests of shareholders as a whole. 5. If they need to move fast on an acquisition, it is often felt that asking shareholders to vote is an inconvenience and time hurdle, but the reality is that it is unlikely to really get in the way of the deal. So, this move certainly does not have my support, and IMO is likely to be ill advised. | briangeeee | |

It should make any corporate deals easier, while it is not clear what options are open to the company, a rejigging of the Korean assets (which now make up such an important part of the group) maybe could be facilitated (cheaper and less reliant on shareholder votes); 2). The inheritance tax status of AIM shares might be attractive to some of the large individual long-term shareholders on the board - with 5.5 million irrevocable acceptances it is clear that the main non-board shareholders have given their support. 3) Lower annual listing costs - although with a quarter of a century on the main market it seems unlikely that now (when the company is trading well) that reducing listing costs has become a critical factor. The Board considers that the Move to AIM is in the best interests of the Company and its shareholders. The Board believes that AIM provides a more suitable regulatory environment for a business of Titon's size and structure, and provides more flexibility in relation to corporate transactions and equity fundraising, should such opportunities or initiatives arise or become relevant to the Group in the future.
